Portfolio Release

Version 1.0. Effective upon acceptance.

This Portfolio Release ("Release") is between you and mjonesone, LLC, a California limited liability company doing business as ICONS ("ICONS", "we", "us", "our"). It covers the images you select for public display on your ICONS profile. It is part of, and governed by, the Terms of Service and the Talent Participation Agreement. Capitalized terms not defined here have the meanings in those documents.

1. What this Release covers

"Portfolio Images" means the specific images you select or upload and mark for public display on your profile, including images we imported from your public social accounts as candidates and that you choose to publish. Imported candidate images are not displayed publicly unless and until you select them and accept this Release.

This Release covers only public display of Portfolio Images on the Service. It does not cover private reference photographs, identity verification files or any Booking Deliverable.

2. Permission to display

You grant ICONS a non-exclusive, royalty-free, worldwide, revocable license, for as long as each Portfolio Image remains selected, to:

(a) host, store, reproduce and display the Portfolio Images on your public ICONS profile, in discovery results, shortlists and booking pages within the Service, and in links and previews of your profile generated when someone shares it;

(b) make technical copies needed to do so, such as resized versions, thumbnails, crops for consistent layout and compressed formats, and remove embedded metadata; and

(c) show the Portfolio Images to Brands and Agencies browsing the Service so they can consider booking you.

We will not alter the Portfolio Images other than the technical changes in (b). We will not use them in ICONS advertising outside the Service, or feature them in our own marketing materials, without your separate written permission.

3. What this Release does not permit

  • No Brand license. Displaying a Portfolio Image does not give any Brand, Agency or other User any right to download, copy, use, edit or publish it, or to use your Likeness. Any use of your Likeness by a Brand requires a signed Booking and a separate AI Likeness and Digital Replica Rider that you personally sign.
  • No production reference. Portfolio Images are not used as reference material for AI generation or Production. Production uses only private reference images you provide for a specific Booking, under that Booking's terms.
  • No training. ICONS will not use Portfolio Images to train, fine-tune or evaluate any AI model, to create embeddings, facial templates or a reusable likeness model, or to supply any dataset, and will not permit vendors to do so.
  • No endorsement. Displaying your images does not mean you endorse ICONS or any Brand.

4. Your warranties

For each Portfolio Image, you represent and warrant that:

(a) you own the copyright in the image, or you have a written license or other permission from the copyright owner (including the photographer, studio, agency or platform, where applicable) broad enough to grant this Release;

(b) every identifiable person shown in the image is you, or is an adult who has given consent to the image being displayed publicly on the Service, and you can provide evidence of that consent on request;

(c) no person shown in the image is under 18;

(d) the image is not sexually explicit, does not show nudity of a kind prohibited by the Acceptable Use and AI Content Policy, and complies with that policy;

(e) the image does not infringe or misappropriate any copyright, trademark, right of publicity, privacy right or other right of any person, and does not contain any third party's trademark or logo used in a way that suggests a sponsorship or endorsement that does not exist;

(f) any brand, product or paid partnership visible in the image is not subject to an exclusivity or confidentiality obligation that public display would breach; and

(g) if the image depicts a Virtual Persona, you hold the rights to the character and the source assets used to create it, the image does not depict an unauthorized real person, and the persona is labeled virtual.

A publicly visible image is not automatically cleared for display here. If you are unsure whether you have the rights, do not select the image.

5. Review and removal by ICONS

We may review Portfolio Images before or after they are published. We may decline, hide or remove any image that we reasonably believe breaches this Release, the Terms or the Acceptable Use and AI Content Policy, or that is the subject of a credible complaint, including a copyright notice or a privacy or publicity complaint. Where practical, we will tell you why. Removing an image does not by itself suspend your account.

6. Withdrawing images

This Release is revocable for future display. You may deselect or delete any Portfolio Image, or withdraw this Release entirely, at any time in your profile settings or by emailing hello@iconsai.com.

(a) Deselected images stop appearing on your public profile and in discovery promptly, and in any case within 5 business days.

(b) Cached copies in content delivery networks, browsers and link previews may persist for a short period after removal until caches expire; we take reasonable steps to purge our own caches. We cannot remove copies that third parties have independently saved, screenshotted or indexed outside the Service, although we will cooperate with reasonable takedown requests.

(c) If you withdraw this Release entirely, your profile may not remain publicly listed until you select at least one Portfolio Image again, because a public listing requires confirmed portfolio rights.

(d) Withdrawal does not affect any Booking you have signed, which is governed by its own Contract Packet.

We may keep a private record of which images you selected and when, and of your acceptance of this Release, as part of our consent records.

7. Ownership and credit

You, or the copyright owner who licensed the image to you, keep all ownership of the Portfolio Images. This Release transfers no ownership to ICONS. If a photographer or other rights holder requires a credit as a condition of display, you may add the credit in the image caption field, and we will display it with the image. If a rights holder tells us that a required credit is missing or that permission has ended, we may hide the image until the issue is resolved.

8. Indemnity

You will defend, indemnify and hold harmless ICONS from third-party claims arising from a breach of your warranties in Section 4, as provided in the Terms of Service. ICONS will notify you promptly of any such claim and allow you to participate in its defense.

9. No payment

This Release is given without payment. You receive the benefit of a public profile that Brands can discover. You will not receive compensation for display of Portfolio Images on the Service.

10. General

This Release is governed by California law and the dispute resolution terms of the Terms of Service. If it conflicts with a signed Contract Packet on any Booking, the Contract Packet controls for that Booking. We may update this Release by publishing a new version; continued display of an image under a new version requires your acceptance of that version.
