Acceptable Use and AI Content Policy

Version 1.0. Effective upon acceptance.

This Acceptable Use and AI Content Policy (this "Policy") is part of the Terms of Service between you and mjonesone, LLC, a California limited liability company doing business as ICONS ("ICONS", "we", "us", "our"). It applies to every User, every Organization and its Authorized Users, every profile, every Booking and all content created, uploaded, requested, approved or distributed through the ICONS marketplace at iconsai.com and related apps and APIs (the "Service"). Capitalized terms not defined here have the meanings in the Terms.

This Policy exists because the Service makes commercial content that can depict real people, including AI-generated content. The rules below protect the people depicted, the audiences who see the content, and the Brands and Agencies who rely on it. Where a Contract Packet sets a stricter rule for a Booking, the stricter rule applies.

1. Adults only

  • Every User, every person who appears in a profile, and every person depicted in any Deliverable or reference material must be at least 18 years old.
  • You must not upload, request, generate or distribute any content that depicts, or appears to depict, a person under 18, including through youthful styling, age-regression prompts, school settings intended to suggest a minor, or synthetic "aged-down" versions of an adult.
  • Content that sexualizes minors in any way, real or synthetic, is strictly prohibited. We remove it, preserve evidence as the law requires, terminate the accounts involved and report it to the National Center for Missing and Exploited Children and to law enforcement.

2. No explicit sexual content in V1

The current version of the Service supports non-explicit commercial campaigns only. You must not use the Service to create, request, upload, approve or distribute:

  • nudity or sexually explicit content, including synthetic or AI-generated sexual imagery of anyone;
  • content depicting sexual acts, or sexualized content focused on intimate body parts;
  • promotion of adult services, adult-content subscriptions or sexual services, including campaigns whose purpose is to drive traffic to explicit content; or
  • "nudify," undressing or similar transformations of any person's image.

A Talent having an account on an adult-content platform, such as OnlyFans, does not make that Talent ineligible, and does not make a campaign adult content. Eligible adult creators may take part in non-explicit work. Explicit content would require a separate product launch with its own terms; it is not enabled by adding a link to a profile.

3.1 No unauthorized likeness

You must not use the Service to create, request or distribute any Digital Replica, synthetic depiction, voice clone, face swap or other representation of a real person's Likeness without that person's personal, specific consent for that use. On the Service, campaign consent is given only by the person themself, in the AI Likeness and Digital Replica Rider signed for that Booking. An Agency's authority, a profile, a signup checkbox or a public photo is not campaign consent.

Likeness may be used only for the named advertiser, product, purposes, media, channels, territory, dates, modalities (face, body, voice) and vendors stated in the Contract Packet, and only in Approved Final Assets. Using Likeness for anything else, including a different product, a new concept, a different language, additional versions, a longer term, a wider territory or paid media that was not purchased, is prohibited until a signed change order or amendment adds it.

3.3 Uploading other people's images

You must not upload images, video or audio of anyone other than yourself unless you have that person's documented permission for the specific purpose, and, for reference material used in production, unless that person is the Talent in the Booking and has authorized the upload. Agencies may stage images for a roster entry only with documented upload permission. Publicly visible images are not cleared for use simply because they are public.

3.4 Lookalikes and soundalikes

You must not request or create content intended to make an audience believe it depicts a specific real person who has not consented, whether by close imitation of their appearance, voice, name, signature phrases or distinctive persona.

4. Honest endorsements and FTC disclosure

4.1 Disclosure duties

Content distributed through the Service is advertising. Everyone involved must follow the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) and similar laws and platform rules. In particular:

  • Every sponsored post must clearly and conspicuously disclose the material connection between the Talent and the Brand, in the post itself, in a way the audience will notice and understand (for example "Ad," "Paid partnership with [Brand]" or "Sponsored"), placed where it will be seen without clicking "more."
  • Platform branded-content tools should be used where available, but a platform label alone is not treated as universally sufficient. The Distribution Schedule lists the disclosures required for each post, and they are checked before a post is verified.
  • Disclosures must not be buried in hashtags, hidden among many tags, placed only on a profile page, or stated only in a language the audience does not use.
  • These rules apply to Virtual Personas as they do to human creators.

4.2 No deceptive endorsements

  • Do not present a generated or scripted performance as a Talent's actual personal experience, opinion or result unless it is true and the Talent has actually used the product as stated.
  • Do not invent testimonials, reviews, ratings or results, or attribute statements to a Talent that the Talent has not approved.
  • Do not make product claims that the Brand cannot substantiate. Health, financial, weight-loss, earnings and similar claims require competent and reliable evidence and must be approved by the Brand, which is responsible for them.
  • Do not use a Talent's Likeness to imply an endorsement, testimonial or ongoing relationship that the Contract Packet does not include. A License alone is not an endorsement.

5. Synthetic content labeling

  • AI-generated or AI-altered content distributed through the Service must carry the synthetic-content disclosures required by law, by the destination platform's policies and by the Contract Packet. The Distribution Schedule records the synthetic-content disclosure separately from the sponsorship disclosure, and both are checked.
  • You must not remove, crop out, obscure or falsify watermarks, content credentials, provenance metadata or AI labels that the Service, a vendor or a platform applies, except as the Contract Packet expressly permits for delivery of clean masters after final approval.
  • Watermarked previews are for review only. You must not publish, distribute or attempt to remove the watermark from a preview.
  • When content would otherwise mislead viewers into thinking a synthetic depiction is a real recorded event, you must label it as AI-generated even where no specific law requires it.

6. Virtual Personas

  • A Virtual Persona must display the Service's virtual-persona badge on its profile and must be disclosed as virtual or AI-generated wherever it is distributed, as the Contract Packet requires.
  • A Virtual Persona must never claim, state or imply that it is a real human, and must not be presented in a way designed to make audiences believe it is one.
  • The rights owner must be a verified adult who holds documented rights to the character and to all source assets. A Virtual Persona must not be based on, or be confusingly similar to, a real person's Likeness without that person's consent.
  • The human rights owner signs all agreements and is responsible for the persona's conduct.

7. Political, election and civic content

You must not use the Service to create or distribute:

  • political advertising, campaign content, or content supporting or opposing any candidate, political party, ballot measure or legislation;
  • synthetic depictions of any public official, candidate or political figure;
  • content about elections, voting procedures or civic processes that could mislead people about when, where or how to vote or about election results; or
  • deepfakes or synthetic depictions of real events, disasters, conflicts or news intended to be taken as genuine.

8. Prohibited categories

Unless ICONS has approved a category in writing for a specific product launch, campaigns may not advertise or promote:

  • explicit sexual content, adult services, escort services or sexual wellness products marketed in a sexualized way;
  • illegal products or services, or anything illegal in the territory of the campaign;
  • weapons, ammunition, explosives and weapon accessories;
  • tobacco, nicotine and vaping products; cannabis and products containing THC; and recreational drugs or drug paraphernalia;
  • prescription drugs, peptides or compounded medications, unapproved medical treatments, and products making disease-treatment claims;
  • gambling, sweepstakes casinos, and real-money gaming;
  • cryptocurrencies, tokens, NFTs, high-risk investment products, "get rich quick" schemes, multi-level marketing, payday or predatory lending;
  • surveillance or stalking tools, hacking services, and products designed to evade law enforcement;
  • hate groups, extremist organizations, or content that promotes violence or discrimination against protected groups;
  • counterfeit or infringing goods; and
  • any product or service the Processor does not permit for our account, including the categories on the Processor's restricted-businesses list.

ICONS may review any campaign in a sensitive category, such as alcohol, supplements, financial services or dating, and may require additional substantiation, disclosures or Talent opt-in before it proceeds. Talent may exclude categories from their profile, and a campaign in an excluded category may not be offered to them.

9. Harmful content

Regardless of category, you must not create, request or distribute content that:

  • harasses, threatens, bullies, defames, demeans or humiliates any person;
  • promotes or depicts self-harm, eating disorders or dangerous challenges;
  • depicts graphic violence or cruelty;
  • is hateful toward people based on race, ethnicity, national origin, religion, caste, sex, gender identity, sexual orientation, disability, age or serious disease;
  • discloses anyone's private information without consent; or
  • infringes or misappropriates anyone's copyright, trademark, trade secret, privacy or publicity rights, including unlicensed music, logos and footage.

10. Data, platform and security rules

You must not:

  • scrape, crawl, harvest or bulk-export data from the Service, or use the Service to build identity, face, voice or Likeness datasets;
  • use Likeness, reference images, voice samples or identity data obtained through the Service to train or fine-tune any AI model, or to build reusable likeness or voice models, except under a separate explicit consent signed by the Talent;
  • request, share or use social media passwords, session cookies or login credentials, or use browser automation against anyone's social accounts;
  • scrape or attempt to access login-only, private, paywalled or subscriber content on any platform, including through the Service;
  • access another User's account, data, campaign room or files, or try to probe, scan or test the Service's security without our written permission;
  • upload malware, or interfere with, overload or disrupt the Service;
  • create fake accounts, impersonate any person or organization, misstate your identity, age, authority, affiliation or audience, or buy or fabricate followers, views or engagement to inflate metrics;
  • manipulate posting evidence, metrics, screenshots or verification; or
  • use the Service to send spam or unsolicited commercial messages.

11. Fair dealing on the marketplace

You must not use the Service to discover Talent or Brands and then avoid the Service's workflow in breach of an applicable agreement, including the non-circumvention terms in the Brand Terms. You must not pressure anyone to sign or approve, misrepresent the terms of a Quote, or ask a Talent to approve content outside the signed scope. Agency members must act only within the scopes of their Representation Grant and must never sign a Talent's personal identity or likeness consent.

12. Reporting

If you see content or conduct that violates this Policy, or believe your Likeness is being used without your consent, report it through the Service or by email to legal@iconsai.com with "Likeness complaint" or "Policy report" in the subject line. Include links, the booking reference if known, and what you believe is wrong. We log every report and may ask for more information. We do not retaliate against good-faith reporters.

13. Enforcement

We review reports and may also detect violations ourselves. When we reasonably believe this Policy has been violated, we may take any of these actions, with logged reasons:

  • remove or disable content, or block delivery of a Deliverable;
  • freeze new generation and future delivery for a Booking while we investigate a safety complaint;
  • pause or remove a listing, or restrict features;
  • hold payouts related to the violation, as the Contract Packet and Processor rules allow;
  • require corrective action, such as adding a missing disclosure or taking down a post;
  • suspend or terminate accounts and Organizations; and
  • report conduct to law enforcement, platforms or affected people where appropriate or required.

We consider the severity of the violation, its impact on the people depicted, whether it was intentional, and any history of violations. Some violations, including anything involving minors, non-consensual sexual or intimate content, or deliberate unauthorized use of a real person's Likeness, result in immediate termination. Where practical and lawful, we tell the affected User what action we took and why, and offer a way to respond or appeal by emailing legal@iconsai.com.

Copies of content that have already been distributed cannot be technically recalled by ICONS. Our enforcement includes logging takedown requests, notifying the parties responsible, and supporting the contractual remedies in the Contract Packet.

14. Changes

We may update this Policy as laws, platform rules and our product change. We will publish each new version with a new version number and, for material changes, notify Users as described in the Terms.
