Distribution Schedule

Version 1.0. Effective upon acceptance.

Booking reference: [booking_ref] · Quote hash: [quote_hash]

This Distribution Schedule (this "Schedule") is part of the Contract Packet for the Booking identified above. It sets out the Distribution product: specific posts that the Talent will publish on specific social accounts the Talent owns or is authorized to operate. It is issued under, and incorporates, the Booking Order, the AI Likeness and Digital Replica Rider (the "Rider"), the Payment and Cancellation Schedule, the ICONS Terms of Service, the Acceptable Use and AI Content Policy and, as applicable, the Brand Terms, the Talent Participation Agreement and the Agency Platform Agreement. Capitalized terms not defined here have the meanings given in those documents.

Distribution is separate from the License and from Production. A License to use Likeness never implies a post, and a post never implies paid-media rights, whitelisting, partnership-ad access, an endorsement beyond the approved post, or access to the Talent's followers, subscribers or audience data.

1. Parties

[parties]

The Brand for this Booking is [brand_legal_name]. The Talent is [talent_display_name]. The Agency, if any, is [agency_legal_name].

2. Posts

(a) Post schedule. The Talent will publish the following posts (each, a "Post"). For each Post the schedule states the platform, the named destination account, the format, the count, the posting window with its time zone, and the minimum live period:

[post_schedule]

(b) Named accounts only. Each Post must be published on the named account listed for it. Publishing on a different account, including a backup, fan or affiliated account, does not satisfy this Schedule unless the parties sign an amendment.

(c) Account control. The Talent represents that it owns or is authorized to operate each named account, and that publishing the Post complies with the destination platform's terms, including its branded content and AI content rules. If the Talent loses access to a named account, the Talent will notify ICONS promptly through the campaign room. ICONS will block new post sales for that account and the affected Posts enter the resolution process in Section 8.

(d) Posting window. The Talent will publish each Post within its posting window. If the window is missed, the Post is marked late. A missed window starts the cure process in Section 8; it is never treated as completion and never triggers payout by itself.

3. Final posting packet

(a) Packet contents. Before the posting window opens, ICONS provides the Talent a final posting packet for each Post, showing: the exact approved file (identified by file hash in the Rights Manifest), caption, tags and mentions, call to action and link, posting window, destination account, required sponsorship disclosure, required synthetic-content disclosure and minimum live period.

(b) Talent confirmation. The Talent confirms the packet before the Post is marked ready. A Post is ready only when the exact final asset, caption and destination account have been approved by the required approvers.

(c) Exact asset. The Talent will publish the exact approved file, or a technical transcode of it that the destination platform applies automatically or that ICONS has approved. The Talent will not edit, crop, re-cut, add filters or effects to, or replace the asset, and will not post a newly edited asset without a new approval.

(d) Caption and call to action. The Talent will use the approved caption and call to action. Minor platform-driven formatting differences are permitted. Additions to the caption are permitted only if they do not contradict the approved message, do not make product claims and do not obscure required disclosures. Campaign: [campaign_title]. Product: [product].

4. Disclosures

(a) Required disclosures. Each Post must carry the following disclosures:

[disclosures]

(b) Two separate disclosures. The sponsorship disclosure (that the Post is paid or otherwise has a material connection with the Brand) and the synthetic-content disclosure (that the content was generated or materially altered with AI) are separate requirements. Satisfying one does not satisfy the other.

(c) Placement. Disclosures must be clear and conspicuous: in the caption above any truncation point, in the video or image itself where the format calls for it, and using any platform branded-content or AI-content label the destination platform requires. A platform label alone is not treated as sufficient in every case; where the posting packet requires a caption or on-screen disclosure as well, both are required.

(d) No misrepresentation. No party will present generated content as a record of a real event or as the Talent's actual personal experience with the product unless it is true. The Talent will not state or imply that they used, tried or achieved results with the product unless that statement is true and has been approved. The Brand will not ask the Talent to do so. This applies equally to a Virtual Persona, which must not claim to be a real human.

(e) FTC compliance. Each party will comply with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising and related guidance, and with any other law and platform rule that applies to the Post. The Brand is responsible for its product claims and their substantiation.

5. Minimum live period and reposting

(a) Minimum live period. Each Post must remain publicly live on the named account, unedited, for at least [minimum_live_days] days from verified publication (the "Minimum Live Period"), unless the schedule states a different period for that Post.

(b) Archiving, hiding and editing. Archiving, hiding, restricting visibility (other than a platform's default audience restrictions), deleting or editing the Post or its caption during the Minimum Live Period is an early removal, except where required by law, by a platform decision outside the Talent's control, or by a takedown request under Section 9.

(c) After the Minimum Live Period. After the Minimum Live Period the Talent may leave the Post up or remove it. Leaving a Post up after the Minimum Live Period does not extend the License for any other use, and the Brand gains no rights from the Post remaining live.

(d) Reposting. The Talent may not repost, cross-post or share the asset to any other account, story, channel or platform unless the schedule expressly allows it. The Brand may reshare or link to the Post on its own channels only if the Booking Order grants that organic use, and only within the License channels ([channels]), territory ([territory]) and dates.

6. Paid amplification

(a) Limits. Paid amplification of a Post, including boosting, whitelisting, partnership ads, branded-content ads, dark posts or running the Post or asset from the Talent's handle, is permitted only as stated here: [paid_media], for the period [paid_media_term]. If nothing is stated, no paid amplification is permitted.

(b) Independent dates. Paid usage rights and organic posting rights have independent start and end dates. The end of the Minimum Live Period does not end paid usage rights, and paid usage rights do not extend the Minimum Live Period or the License. Each right ends on its own stated date.

(c) Account access. Whitelisting and partnership-ad access are handled manually and are separately scoped. The Talent never shares a password, cookie or login with the Brand, the Agency or ICONS. Any ad-account permission the Talent grants is limited to the stated scope and period, and the Talent may withdraw it at the end of that period. Granting analytics access does not grant publication or advertising access.

(d) Separate results. Organic and paid results are reported separately.

7. Publication evidence, verification and reporting

(a) Manual publishing. The Talent, or an operator the Talent has authorized for the account, publishes each Post directly through the destination platform. ICONS does not publish automatically, does not use browser automation against social accounts and does not ask for social account passwords.

(b) Evidence. Within 24 hours after publishing, the Talent uploads to ICONS the publication URL, the platform post ID if available, the time published, a screenshot of the live Post and evidence of the caption and disclosures.

(c) Verification. ICONS verifies each Post: that it appears on the named account, uses the exact approved asset or a permitted transcode, carries the approved caption and required disclosures, and was published within the window. ICONS uses an official platform API where the Talent has authorized it; otherwise an ICONS reviewer examines the evidence and records the reviewer, time and decision. A screenshot alone is unverified until reviewed. The Talent cannot verify its own Post. The Brand may flag a missing or incorrect Post, and an ICONS operator resolves the conflict.

(d) Private destinations. For destinations that are not publicly viewable, such as subscription platforms including OnlyFans, the Talent provides evidence that is visible only to the Brand's authorized reviewers and ICONS reviewers. Subscriber counts, subscriber identities and audience details remain private unless the Talent has expressly elected to share them with the Brand. Distribution on any subscription or adult-oriented platform is available only where the destination's policies permit the Post and only for non-explicit content.

(e) Reporting. Where the platform and the Talent's authorization make them available, ICONS captures reporting snapshots at about 24 hours, 7 days and 30 days after publication, covering views, unique reach, likes, comments, shares, saves and clicks. A metric that is not supplied is reported as unavailable, not zero. Where an API is not authorized, the Talent will upload screenshots of the platform's native insights at those intervals if the schedule requires reporting. Actual results are compared against the estimate in the original Quote.

(f) Token expiry. If a platform connection expires, ICONS will not treat posting or metric access as successful; it will request reconnection or manual evidence.

8. Cure, early removal and missed posts

(a) Breach events. Each of the following is a "Distribution Breach": a Post not published within its window; publication on the wrong account; publication of an unapproved or edited asset; a wrong caption; an omitted or obscured required disclosure; or early removal during the Minimum Live Period.

(b) Cure period. ICONS notifies the Talent of a Distribution Breach through the campaign room and by email. The Talent has three business days from notice to cure it (the "Cure Period"), for example by publishing the Post, correcting the caption or disclosure, or restoring the Post, unless the schedule states a different Cure Period. A cure that requires a new or edited asset needs approval before posting.

(c) Verified-post payout blocked. Until a Distribution Breach is cured or resolved, the posting compensation for the affected Post is not released. A Post with a wrong caption or omitted disclosure is not verified.

(d) Early removal. If a Post is removed early, ICONS preserves the evidence, opens a cure workflow and holds any unpaid posting compensation for that Post, including the Holdback.

(e) Remedies. If a Distribution Breach is not cured within the Cure Period, the parties, with an ICONS operator's help, will resolve it by one of: a replacement Post on agreed terms; a negotiated credit; or a prorated refund of the unearned posting compensation for the affected Post as calculated under the Payment and Cancellation Schedule. Where the Talent is at fault, compensation for the affected Post that has not been paid is forfeited to the extent of the refund, and amounts already paid may be recovered as set out in the Payment and Cancellation Schedule. These are the exclusive monetary remedies for a Distribution Breach, except for breaches involving fraud, willful misconduct or a violation of the disclosure requirements that exposes another party to regulatory liability.

(f) Excused events. A Post removed or restricted by the platform for reasons other than the Talent's breach, a platform outage, or a takedown under Section 9 is not a Talent breach. The parties will agree in good faith on a replacement Post or a prorated refund.

9. Takedown

(a) Takedown requests. If ICONS, acting on a safety complaint, legal demand, regulatory request or credible claim of unauthorized Likeness use, asks the Talent to remove a Post, the Talent will remove it promptly. Removal at ICONS's request is not an early removal by the Talent.

(b) Brand requests. The Brand may ask for a Post to be removed early, for example after a product recall. Removal at the Brand's request does not reduce the posting compensation, and the Holdback is released as if the Minimum Live Period had been completed, unless the request is caused by the Talent's breach.

(c) No recall. Copies of a Post that third parties have saved, shared or re-uploaded cannot be technically recalled. ICONS logs takedown requests and the parties' contractual remedies remain available.

10. Payment and Holdback

Posting compensation is stated in the fees table in the Booking Order. It becomes payable after verified publication with the required caption and disclosures. By default [holdback_pct] of each Post's posting compensation (the "Holdback") is retained and released after the Minimum Live Period ends without an uncured Distribution Breach. The Payment and Cancellation Schedule governs timing, allocation and refunds.

11. No performance guarantee

Reach, views, engagement, clicks, conversions, sales and follower growth are not guaranteed. Any audience estimate shown in the Quote is an estimate based on the data and method stated with it, not a promise. Lower-than-estimated results are not a breach and do not entitle any party to a refund, credit or make-good, unless the Booking Order expressly contracts a specific make-good.

12. Sandbox Mode

While the Service operates in Sandbox Mode, no funds are captured or paid, signatures are test records and are not legally executed contracts, and any publication or verification outcome is labeled sandbox. This Schedule has no binding effect while the Booking is in Sandbox Mode.

13. General

This Schedule is governed by the laws of the State of California, and disputes under it are resolved under the dispute resolution section of the Terms of Service. If this Schedule conflicts with another document in the Contract Packet, the order of precedence in the Booking Order applies. Nothing in this Schedule expands the Likeness rights in the Rider. Notices to ICONS go to legal@iconsai.com.

Signatures

Each required party signs electronically in the ICONS campaign room. The signature record holds the signer's typed name, role, organization, date and time, and this document's fingerprint, and binds only to the Quote Hash shown above.
