Campaign Booking Order

Version 1.0. Effective upon acceptance.

Booking reference: [booking_ref] · Quote hash: [quote_hash]

This Campaign Booking Order (this "Booking Order") is entered into through the ICONS marketplace operated by mjonesone, LLC, a California limited liability company doing business as ICONS ("ICONS"). It records the Booking identified above between the Brand and the Talent named below, and, where applicable, the Agency acting for the Talent and ICONS as production vendor. Capitalized terms not defined here have the meanings given in the Terms of Service, the Brand (Advertiser) Terms and the Talent Participation Agreement.

1. Parties

[parties]

In this Booking Order, "Brand" means [brand_legal_name]; "Talent" means the verified individual or Virtual Persona rights owner offering services as [talent_display_name]; and "Agency" means [agency_legal_name]. Where no Agency is named, all references to the Agency do not apply. ICONS is a party to this Booking Order only (a) as the operator of the Service, for the Platform Fee and the matters this Booking Order assigns to ICONS, and (b) as production vendor if the production mode below is Platform-Managed Production.

2. Campaign

3. Three separate products

This Booking may include up to three separate products. Each is separately priced, separately scoped, separately cancellable according to its stage, and separately reported. A product not listed in the fees table is not purchased. Buying a License never implies a post, an endorsement, paid-media rights or access to the Talent's followers.

3.1 License

The Talent grants the Brand a limited, non-exclusive (unless exclusivity is stated below), non-transferable license to use the Talent's Likeness, solely as it appears in the Approved Final Assets, on the following terms. The detailed terms of Likeness use, including modalities, purposes, editing and the restrictions on AI use, are in the AI Likeness and Digital Replica Rider for this Booking, which controls on any question of Likeness use.

Unless the License start above is a later fixed date, the License begins on final delivery of the Approved Final Assets. Paid usage rights and organic usage rights each apply only within their own stated dates. Anything not expressly granted is reserved to the Talent. No right to train, fine-tune or build a reusable model of the Talent's Likeness is granted.

3.2 Production

The Deliverables are created by the production owner stated in section 2 under the Production Statement of Work for this Booking.

[deliverables]

Two consolidated revision rounds are included per asset set unless the Production Statement of Work states otherwise. Corrections needed because a Deliverable does not meet the agreed specification do not count as revision rounds. New concepts, products, languages, durations, rights or additional outputs require a change order.

3.3 Distribution

Where Distribution is purchased, the Talent will publish the Approved Final Assets on the named Talent-owned social accounts according to the Distribution Schedule for this Booking.

[post_schedule]

Each post must remain live for at least [minimum_live_days] days and must carry the following disclosures:

[disclosures]

Distribution creates a posting obligation only. It does not guarantee any reach, views, engagement or other result, and no refund or make-good is owed for lower-than-estimated performance.

4. Fees

[fees_table]

4.1 Platform Fee. The Platform Fee is the ICONS marketplace fee charged to the Brand and itemized above. It is calculated on the License, Distribution, rights-extension and any Talent-Managed or Agency-Managed Production fees at the rate shown above, and is not applied to the Platform-Managed Production price, to tax or to refunded amounts. Agency commission, if any, is paid out of Talent compensation on the signed commission basis and is not part of the Platform Fee.

4.2 Payment. The Brand pays the total shown above through the Processor's hosted checkout after every required party has signed. The Booking is funded only on an authoritative success event from the Processor. Payments to the Talent, any Agency and any vendor are released by milestone under the Payment and Cancellation Schedule, including a Holdback of [holdback_pct] of posting compensation until the minimum live period ends. ICONS is not an escrow agent; funds are captured by the Processor and transfers are delayed until milestones are met.

4.3 Taxes. Tax is shown as a separate line where it applies. Each party is responsible for its own income taxes.

5. Cancellation

Cancellation, refunds, kill fees, failed postings and chargebacks are governed by the Payment and Cancellation Schedule for this Booking. The cancellation tiers agreed for this Booking are:

[cancellation_schedule]

6. Approvals

6.1 Approval policy. The approval policy for this Booking was frozen when the Booking was requested and is part of the Quote. Unless the Quote states otherwise, the Talent's business approver accepts the commercial terms; the Talent and the Brand both approve the script or storyboard before production starts; and the Talent and the Brand both approve each final asset before release. An Agency approves only where the Talent has granted creative-review authority for this category and these dates.

6.2 Versions. Approvals attach to a specific version of a specific file, identified by its hash. Replacing a file creates a new version and resets its approvals. Silence is never approval.

6.3 Release. A clean, unwatermarked Deliverable is released to the Brand only when this Booking is funded, the Talent's campaign consent is current, all required approvals of the current versions are recorded, the License window permits release and no dispute or safety hold applies. ICONS then issues a Rights Manifest recording the licensee, Approved Final Asset hashes, channels, territory, dates, paid-media limits and disclosure requirements.

7. Contract Packet and order of precedence

7.1 Documents. This Booking Order is signed together with the following documents for this Booking, which together form the Contract Packet: the AI Likeness and Digital Replica Rider, the Production Statement of Work, the Distribution Schedule (if Distribution is purchased), the Payment and Cancellation Schedule, and any Agency Authority Rider on file for the Agency. The Terms of Service, Privacy Policy, Acceptable Use and AI Content Policy, Brand (Advertiser) Terms, Talent Participation Agreement and Agency Platform Agreement apply as accepted by each party.

7.2 Order of precedence. If documents conflict, they apply in this order:

  1. this Booking Order;
  2. the AI Likeness and Digital Replica Rider;
  3. the Distribution Schedule;
  4. the Production Statement of Work;
  5. the Payment and Cancellation Schedule;
  6. the Agency Authority Rider;
  7. the Brand (Advertiser) Terms, the Talent Participation Agreement and the Agency Platform Agreement;
  8. the Terms of Service.

However, the AI Likeness and Digital Replica Rider controls over every other document on any question of Likeness use, and nothing in a lower document expands the Likeness rights granted in that Rider.

8. Integrity of this order

8.1 Bound to one Quote. Every signature on this Booking Order and the Contract Packet binds only to the Quote identified by the Quote Hash above. The Quote Hash is a cryptographic fingerprint of the agreed prices, fees, production budget, cancellation schedule, Deliverables, approval policy, representation authority, metrics snapshot, License terms and required signatories.

8.2 Changes create a new version. Any change to price, Deliverables, channels, dates, production owner, rights, payout split or any other term in the Quote creates a new Quote with a new Quote Hash and requires new signatures. A signature on an earlier version cannot approve a later version. Messages and comments do not change this Booking Order.

8.3 Change orders. After funding, a material change requires a priced change order with a new scope version, fresh approvals, signatures where required and additional funding before the changed work starts. No additional amount is charged to a saved payment method without the Brand's explicit approval.

8.4 Expiry. If this Booking Order is not fully signed and funded before the Quote expires, it lapses, and a new Quote or an expressly agreed extension is needed.

9. Representations

9.1 Brand. The Brand confirms that it has rights to all Brand Materials, will substantiate all product claims, will make all sponsorship and synthetic-content disclosures required for uses it controls, and will use the Approved Final Assets only within the License.

9.2 Talent. The Talent confirms that the Talent is the verified subject (or, for a Virtual Persona, the verified adult rights owner), is at least 18 years old, has the right to grant this License, and that the Booking does not conflict with any existing exclusivity or agreement.

9.3 Agency. Any Agency confirms that it acts within a current Representation Grant from the Talent covering this Booking and holds any license required for its activities.

10. Governing law and disputes

This Booking Order is governed by the laws of the State of California. Disputes about the performance of this Booking are first raised in the campaign room for operator review. Any other dispute is resolved under the dispute resolution, binding individual arbitration and class action waiver provisions of the Terms of Service, which are incorporated by reference.

11. Sandbox statement

If this Booking Order is displayed or signed while the Service operates in Sandbox Mode, it is a test record only: nothing is charged or paid, no License is granted, and the signatures are not legally executed. Sandbox records are labeled sandbox and cannot be converted into live Bookings.

12. Electronic signature

Each signer agrees to sign electronically and that an electronic signature recorded by the Service, together with the signer's typed name, the document version and hash, the time, and the device information recorded, has the same effect as a handwritten signature. Each signer confirms that they are authorized to sign for the party they represent. The Talent signs personally; an Agency cannot sign the AI Likeness and Digital Replica Rider for the Talent.

13. Signatures

Each required party signs electronically in the ICONS campaign room. The signature record holds the signer's typed name, role, organization, date and time, and this document's fingerprint, and binds only to the Quote Hash shown above.
