AI Likeness and Digital Replica Rider
Version 1.0. Effective upon acceptance.
Booking reference: [booking_ref] · Quote hash: [quote_hash]
This AI Likeness and Digital Replica Rider (this "Rider") is part of the Contract Packet for the Booking identified above, made through the ICONS marketplace operated by mjonesone, LLC, a California limited liability company doing business as ICONS ("ICONS"). It is the only document in which the Talent consents to the creation and use of a Digital Replica or other AI-generated depiction of the Talent's Likeness for this Booking. Nothing in the Terms of Service, the Talent Participation Agreement, any Agency Authority Rider or any other document licenses the Talent's Likeness for any campaign; that consent exists only in a Rider like this one, signed personally by the Talent, for one Booking.
Capitalized terms not defined here have the meanings given in the Campaign Booking Order and the Terms of Service.
1. Parties
[parties]
The "Talent" is the verified subject identified below, or, for a Virtual Persona, the verified adult rights owner of the persona. The "Brand" is [brand_legal_name], the named advertiser and sole licensee. Where the production mode is Platform-Managed Production, ICONS is the production vendor. Where an Agency is named ([agency_legal_name]), the Agency is not a licensor and does not sign this Rider for the Talent.
2. Scope of consent
The Talent consents to the creation and use of AI-generated or AI-altered depictions of the Talent's Likeness only as described in this table. Anything not described is not permitted.

Permitted production vendors. Only the following vendors may process the Talent's reference material or generate depictions of the Talent for this Booking:
[vendors]
Deliverables covered. This Rider covers only the Deliverables described in the Booking Order:
[deliverables]
3. Description of intended uses
3.1 Reasonably specific description. The Talent acknowledges that the table in section 2, together with the Deliverables and the approved script or storyboard, is a reasonably specific description of the intended uses of any Digital Replica made under this Rider. The Digital Replica will be used only to create the Deliverables described, for the named product and purposes, in the listed media, territory and dates.
3.2 No new performances outside the description. No Digital Replica may be used to create a new performance, statement, scene, voice line or appearance of the Talent that is not within the approved script or storyboard for this Booking. Any new performance requires a new approval and, if it changes scope, a change order and a new or amended Rider.
3.3 No replacement of in-person work beyond this Booking. This Rider does not authorize use of the Digital Replica in place of the Talent's in-person work on any other project, campaign or advertiser.
4. Approved Final Assets only
4.1 Only approved versions. The Brand may publish or use only the Approved Final Assets: the exact versions approved by all required approvers and identified by file hash in the Rights Manifest. Drafts, previews, alternate takes, rejected outputs, reference material and intermediate generations may not be used for any purpose other than review.
4.2 Talent approval. The Talent personally approves the script or storyboard before rendering and personally approves each final asset before release, unless the Talent has delegated routine creative review for this category and these dates under a signed delegation. Delegation never extends to approving uses outside this Rider.
4.3 Editing. Unless [editing_permissions] expressly permits it, the Brand may not edit, recut, re-voice, retime, translate, localize, dub, lip-sync, combine with other content, or otherwise alter an Approved Final Asset, other than technical transcoding, resizing or cropping that does not change the meaning of the content or the depiction of the Talent. Any permitted localization must preserve the meaning of the approved content and must not put words in the Talent's mouth that the Talent has not approved.
4.4 Voice. Where voice is a permitted modality, a synthetic voice may speak only the approved script lines, in the approved languages. Where voice is not a permitted modality, no voice resembling the Talent's may be used, and any voiceover must be clearly a different speaker.
4.5 Body and face. Where body is not a permitted modality, the Talent's body may not be depicted, simulated or composited, and any body shown must not be presented as the Talent's. Where face is not a permitted modality, the Talent may appear only by name, voice or other permitted modality as approved.
4.6 Virtual Personas. For a Virtual Persona, references to the Talent's Likeness mean the persona's character design, name, voice and associated assets. The rights owner confirms that it owns or controls the persona and its source assets, that the persona does not use the Likeness of any real person without that person's written consent, and that the persona will carry a visible virtual-persona label and will not claim to be human.
5. Restrictions
5.1 No additional training rights. No party may use the Talent's Likeness, reference images, voice samples, identity materials, the Deliverables or any generated output to train, fine-tune, evaluate or improve any general-purpose or third-party artificial intelligence model, or to create any embedding, voice model, likeness model, avatar or other reusable representation of the Talent, except a temporary representation that a permitted vendor needs solely to produce the Deliverables for this Booking. Any reusable likeness model, fine-tuning, embedding or voice model requires a separate, explicit written consent signed by the Talent and vendor retention terms.
5.2 No sublicensing beyond named partners. The Brand may not sublicense, assign, sell or transfer any right under this Rider, except that the Brand may permit its advertising agencies, media platforms and production or distribution partners named in the Booking Order or this Rider to handle the Approved Final Assets solely to deliver the licensed use for the Brand. The Brand remains responsible for each of them.
5.3 No identity datasets. Reference material and outputs may not be compiled, sold or shared as a dataset of the Talent's identity.
5.4 No deceptive or harmful depiction. No Digital Replica or Approved Final Asset may depict the Talent: in sexually explicit content or nudity; as a minor; in political, electoral or issue advocacy content; endorsing a product, claim or opinion the Talent has not approved; describing a personal experience the Talent has not had; in any excluded category; or in any way that is false, defamatory or degrading.
5.5 Disclosure. Every public use must carry the sponsorship and synthetic-content disclosures required by the Booking Order, the Distribution Schedule, the platform and applicable law. Neither the Brand nor any partner may remove or obscure a disclosure, watermark or content credential applied to an asset. A Virtual Persona must never be presented as a real human.
5.6 Talent's other rights. Except for the limited consent in this Rider, the Talent retains all rights in the Talent's Likeness, including rights of publicity under California Civil Code section 3344 and common law.
6. Exclusivity and conflicts
6.1 Exclusivity. The Talent is bound by exclusivity only as stated in section 2. If no exclusivity is stated, the Talent may work with any other advertiser, including competitors.
6.2 Existing commitments. The Talent confirms that the uses in this Rider do not conflict with any existing exclusivity, agency agreement, union or guild obligation, or other agreement binding the Talent.
7. Review process
7.1 Stages. Each Deliverable passes through script or storyboard review, production, quality checks and final review. A technical quality check by ICONS or a vendor is not the Talent's consent and does not replace the Talent's approval.
7.2 Watermarked previews. Previews are watermarked and shared only with authorized Booking participants through short-lived links. Clean masters are released only under the release conditions in the Booking Order.
7.3 Likeness accuracy. The Talent may reject any output that inaccurately depicts the Talent's Likeness, depicts the Talent in a way not described in this Rider, or uses a modality not permitted. A rejection on these grounds is a correction, not a creative revision, and does not consume a revision round.
7.4 Silence is not consent. If the Talent does not respond to a review request, the request may be reminded and escalated to an ICONS operator, but silence never becomes approval.
8. Retention and deletion
8.1 Reference material. Private reference images and voice samples provided for this Booking are used only to produce the Deliverables. They are made available only to the permitted vendors and assigned production operators, not to the Brand.
8.2 Vendor deletion. After final delivery, or on earlier termination, ICONS will instruct each permitted vendor to delete the Talent's reference material and any temporary representation created for this Booking, and will record the deletion status the vendor confirms. Some vendors may retain data for limited periods under their own terms, such as abuse monitoring or legal requirements; ICONS will disclose any such limit it knows of and does not promise technical removal or unlearning that a vendor cannot deliver.
8.3 ICONS retention. ICONS keeps the Approved Final Assets, the Rights Manifest, approval records and this Rider as contract records for 7 years, subject to its retention policy, and deletes private reference images within 30 days of account closure absent active work or a legal hold.
8.4 Brand retention. At the end of the License, the Brand must stop all use and may keep copies only for internal legal, archival and compliance records, without any public or commercial use.
9. Term, termination and remedies
9.1 Term. This Rider takes effect when signed by every required party and the Booking is funded, and ends at the License end date, unless terminated earlier.
9.2 Before release. The Talent may withdraw consent under this Rider before any Approved Final Asset is released, subject to the Payment and Cancellation Schedule, including any kill fee for work already performed.
9.3 After release. Once an Approved Final Asset has been released and the License has begun, the Talent cannot revoke the License for convenience. The Talent may terminate this Rider by written notice if the Brand or any partner materially breaches it, including by using a Digital Replica outside the described uses, removing required disclosures, or using an asset after expiry, and the breach is not cured within 5 business days of notice (or immediately where the breach involves explicit, deceptive, political or minor-related content).
9.4 Safety hold. ICONS may immediately freeze new generation and future delivery while it investigates a credible safety, consent or rights complaint.
9.5 Remedies. The Talent's remedies for unauthorized use include removal of the use, injunctive relief, damages including those available under California Civil Code section 3344, and recovery of reasonable attorneys' fees where the law allows. The parties agree that unauthorized use of a Digital Replica may cause irreparable harm for which money damages alone may be inadequate.
9.6 Takedown. On termination, expiry, or a takedown notice from ICONS or the Talent, the Brand must remove or disable the affected uses in media it controls within 2 business days (24 hours for the matters listed at the end of section 9.3), instruct its partners to do the same, and confirm what it has done. Distributed copies cannot always be technically recalled; ICONS logs takedown requests and responses.
10. California digital replica law
10.1 Labor Code section 927. The parties intend this Rider to comply with California Labor Code section 927. To that end: (a) this Rider includes a reasonably specific description of the intended uses of any Digital Replica (sections 2 and 3); (b) this Rider does not allow the creation or use of a Digital Replica of the Talent's voice or likeness in place of work the Talent would otherwise have performed in person except as described here; and (c) the Talent was given the opportunity to be represented by legal counsel, or by a labor organization where the Talent's services are covered by a collective bargaining agreement, in negotiating this Rider.
10.2 Representation. Talent's representation in negotiating this Rider: [talent_representation].
If the Talent was not represented by legal counsel or a labor organization, the Talent confirms that the Talent had a reasonable opportunity to obtain that representation before signing, and the Talent may decline to sign this Rider without any effect on the Talent's account or other Bookings. Any provision of this Rider that would be unenforceable under section 927 for lack of representation is severed, and the remainder of the Booking continues only to the extent it does not depend on that provision.
10.3 Deceased personalities. This Rider applies only to a living Talent who personally signs it. It does not authorize any Digital Replica of a deceased personality, and no such use is offered through the Service. Digital replicas of deceased personalities, including those addressed by California Civil Code section 3344.1, are out of scope.
10.4 Other laws. Where the Talent resides, or the Approved Final Assets are used, in another state or country with digital replica, right of publicity, biometric or AI disclosure laws, the parties will comply with those laws, and the narrowest applicable restriction controls.
11. Personal signature
11.1 Talent signs personally. This Rider must be signed personally by the Talent, or for a Virtual Persona by its verified adult rights owner. No Agency, agent, manager or other representative may sign this Rider for the Talent, even under a Representation Grant, and any such signature is void.
11.2 Brand signature. The Brand's signer must be an Owner or a Buyer with purchasing permission.
11.3 Bound to the Quote. Signatures bind only to the Quote Hash above. Any change to the scope in section 2 requires a new Quote and a new signature of this Rider.
11.4 Sandbox. If signed while the Service operates in Sandbox Mode, this Rider is a test record, is not legally executed and grants no rights.
11.5 Electronic signature. Each signer agrees that the electronic signature recorded by the Service, with the typed name, document version and hash, time and device information, has the same effect as a handwritten signature.
12. Signatures
Each required party signs electronically in the ICONS campaign room. The signature record holds the signer's typed name, role, organization, date and time, and this document's fingerprint, and binds only to the Quote Hash shown above.
